The Terms of Use

These Terms of Use (the “Agreement”) sets forth the terms and conditions that apply to your access and use of the websites and software applications and other online services (collectively, the “Service”) provided by Brutus (Carpe Brutus Inc., a California corporation).

By using the Service, you agree to be bound by this Agreement, whether you are a “Visitor” (which means that you simply browse our websites or use our software without registering) or you are a “Member” (which means that you have registered to create an account with Brutus). The term “you” or “User” refers to a Visitor or a Member. The term “we” refers to Brutus. You may not use the Service and you may not accept this Agreement if you are not of a legal age to form a binding contract with Brutus. If you accept this Agreement, you represent that you have the capacity to be bound by it or if you are acting on behalf of a company or entity that you have the authority to bind such entity. If you do not agree to this Agreement, please don’t use the Service.

We think it is important that you pay attention to this part: THIS AGREEMENT CONTAINS (1) AN ARBITRATION PROVISION; (2) A WAIVER OF RIGHTS TO BRING A CLASS ACTION AGAINST US; AND (3) A RELEASE BY YOU OF ALL CLAIMS FOR DAMAGE AGAINST US THAT MAY ARISE OUT OF YOUR USE OF THE SERVICE. BY USING THE SERVICE, YOU AFFIRM THAT YOU AGREE TO THESE PROVISIONS.

Description of the Service

As part of our service we connect you with actions you can take that are related to a website you are viewing. To work, Brutus needs to collect information from the website you are viewing.

The data we collect so Brutus can function is…

Information on which IP address opened which URL. Brutus stores the URLs opened for the last 3,000 uses across all users. This allows for quicker return of results on recently opened (the last 3,000 URLs) for all users so that website which are popular return results faster. (We don’t know how long the average URL is stored, because we are just launching. Once we have data on this we will be sure to provide an estimated time and we will continue to update the number).

We collect information on how users are using Brutus. Specifically we collect information on “how many times a user opens Brutus” and “how many times a user then choose to click on a link to an external website presented by Brutus”.

The Service is provided by Brutus for free. Right now we don’t make any money. We hope to remedy this soon and promise to be upfront and clear about how we end up making money when it happens (wish us luck).

Information from Third Party Sites

Brutus makes no effort to review the Third Party Accounts for any purpose, including but not limited to accuracy, legality or non-infringement. Brutus is not responsible for the products and services offered by or on third-party sites.

Brutus does not control the policies and practices of any third party site or service.

Brutus cannot always foresee or anticipate technical or other difficulties which may result in failure to obtain data or loss of data, personalization settings or other service interruptions. Brutus cannot assume responsibility for the timeliness, accuracy, deletion, non-delivery or failure to store any user data, communications or personalization settings.

Third Party Links

In connection with Brutus, the Service will provide links to other websites belonging to third parties. Brutus does not endorse, warrant or guarantee the products or services available through Brutus (or any other third-party products or services advertised on or linked from our site), and Brutus is not an agent or broker or otherwise responsible for the activities or policies of those websites or their products or services. Brutus does not guarantee that the event details, prices, availability or other service terms, rates or rewards covered by any particular advertiser or other third party in our Service are actually the terms that may be offered to you if you pursue the offer or that they are the only available in the market. When you access third party websites or use third party services, you accept that there are risks in doing so, and that Brutus is not responsible for such risks. We encourage you to be aware when you leave the Service and to read the terms and conditions and privacy policy of each third party website or service that you visit or utilize.

Brutus has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third party websites or by any third party that you interact with through the Services. In addition, Brutus will not and cannot monitor, verify, censor or edit the content of any third party site or service. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third party website or service.

If there is a dispute between participants on our Service, or between users and any third party, you agree that Brutus is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Brutus, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. If you are a California resident, you shall and hereby do waive California Civil Code Section 1542, which says: ”A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”

Your Registration Information

You agree and understand that you are responsible for maintaining the confidentiality of your password which, together with your Login ID email address, allows you to access the Service. That Login ID and password, together with any mobile number or other contact information you provide form your “Registration Information.”

By providing us with your email address, you agree to receive all required notices electronically, to that e-mail address.

If you become aware of any unauthorized use of your Registration Information, you agree to notify Brutus immediately.

Your Use of the Service

Your right to access and use the Service is personal to you and is not transferable by you to any other person or entity. You are only entitled to access and use our Service for lawful, internal, and non-commercial purposes.

Accurate records enable Brutus to provide the Service to you. In order for the Service to function effectively, you must also keep your Registration Information up to date and accurate. If you do not do this, the accuracy and effectiveness of the Service to you will be a affected.

You agree that Brutus may use your feedback, suggestions, or ideas in any way, including in future modifications of the Service, other products or services, advertising or marketing materials. You grant Brutus a perpetual, worldwide, fully transferable, sublicensable, irrevocable, fully paid-up, royalty free license to use the feedback you provide to Brutus in any way.

You represent, warrant, and agree that you will not contribute any content or otherwise use the Services or interact with the Services in a manner that:

(a) Infringes or violates the intellectual property rights or any other rights of anyone else (including Brutus);
(b) Violates any law or regulation or this Agreement;(c) Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;(d) Jeopardizes the security of your Brutus account or anyone else’s (such as allowing someone else to log in to the Services as you);(e) Attempts, in any manner, to obtain the password, account, or other security information from any other user;(f) Violates the security of any computer network, or cracks any passwords or security encryption codes;(g) Runs Maillist, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);
